Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Sole Proprietor (Individual Entrepreneur) Denis Valerianovich Kapitonov (“Moduloom”, “we”, “us”) governing your access to and use of the Moduloom online service. By creating an account, ticking “I accept the Terms” or using the service, you agree to these Terms. If you use Moduloom on behalf of an organization, you confirm that you are authorized to bind it, and “you” means that organization.

1. The service

1. Moduloom is an online platform at moduloom.online and moduloom.ru for creating interactive presentations, flows, surveys and training materials, presenting them (including offline on tablets) and publishing them as links, SCORM packages and packages for CLM platforms (the “Service”).
2. Account means your company workspace on a separate subdomain (for example name.moduloom.online) where you and the users you invite work with the Service. Viewers (profiles) are people or devices you allow to view your presentations without access to the Account.
3. Plan means the set of features and limits with a monthly price and, where offered, prices for longer billing periods, as published on our pricing page.
4. We may improve, change or discontinue features. If we remove a feature that is material to your paid Plan, we will tell you in advance and you may cancel and receive a pro-rata refund under section 5.

2. Eligibility and availability

1. You must be at least 18 years old and able to form a binding contract. The Service is intended for business, educational and professional use and is not directed to children (see the Privacy Policy).
2. The Service is currently offered to customers who can pay through Russian representatives (a Russian bank card, the Russian Faster Payments System (SBP) or a bank transfer from a Russian legal entity or sole proprietor). Once access is paid for, it can be used from any country, subject to section 9.
3. You are responsible for complying with the laws that apply to you where you use the Service, including laws on data protection, consumer protection, export controls and sanctions.

3. Accounts and security

1. You must provide accurate registration information and keep it up to date. Sign-in uses one-time codes sent to email; you are responsible for keeping access to your email secure and for all activity in your Account.
2. Do not share access with people outside the number of users included in your Plan. Notify us promptly at support@moduloom.online if you suspect unauthorized access.
3. Account administrators control who has access and with which role; we may rely on instructions given by your administrators.

4. Plans, trials and payment

1. Prices are shown in Russian rubles on the pricing page and in the sign-up form before you pay. VAT is not charged (the seller applies the Russian simplified tax system). Your bank may apply currency conversion or foreign transaction fees.
2. Free trial. A Plan may include a free trial once per Account. During the trial you can create, edit and preview materials; publishing (building packages, distributing to viewers) becomes available after payment. If you do not pay by the end of the trial, access is suspended until payment and your materials are retained as described in section 7.
3. Payment. Individuals pay by bank card or SBP on the secure payment page of JSC “ALFA-BANK”; organizations pay by invoice. Access opens automatically after successful payment. Details are in Payments & Refunds.
4. No automatic renewal. We do not store your card details and do not charge you automatically. You renew by paying for the next period in the “Billing” section of the Account; we send reminders 3 days and 1 day before the period ends.
5. Changing Plans. Moving to a cheaper or equal Plan takes effect immediately without a refund for the current period. Moving to a more expensive Plan takes effect after you pay the pro-rata difference for the remaining days of the current paid period. A change is possible only if your current usage fits the new Plan's limits.
6. Additional AI credit packs are bought separately in the Account and remain valid until used up unless the pack description says otherwise.

5. Cancellation and refunds

1. You may cancel at any time by writing from the “Support” section of the Account or to support@moduloom.online.
2. We refund the price of the unused full months of the paid period, calculated pro rata to the amount actually paid. The current month already started and AI credits already used are not refundable, as those services have been provided. If we failed to provide access through our fault, we refund the full amount.
3. Refunds are made to the same card or account used for payment within 10 business days of your request; the time to reach your account depends on your bank. Nothing in these Terms limits any refund or withdrawal rights you have under mandatory consumer law.

6. Your content and acceptable use

1. Your content stays yours. You keep all rights to the materials you upload or create (texts, images, fonts, video, slides, survey answers). You grant us a limited, non-exclusive licence to host, copy, process, transmit and display your content only as needed to provide, secure and support the Service for you.
2. You are responsible for your content and confirm that you have all rights and permissions needed to use it in the Service, including for third-party fonts, images, trademarks and personal data.
3. You must follow the AI & Acceptable Use Policy. In particular, you must not use the Service to break the law, infringe intellectual property or privacy rights, distribute malware, spam or deceptive content, attempt to breach security, overload or reverse engineer the Service, or resell it without our written consent.
4. Copyright complaints. If you believe content hosted in the Service infringes your copyright, send a notice to support@moduloom.online with: your contact details; identification of the work; the location of the allegedly infringing material; a statement of good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act; and your physical or electronic signature. We will review notices promptly, may remove or disable access to the material and, where appropriate, terminate repeat infringers. The affected customer may send a counter-notice to the same address.
5. We may suspend access to specific content or to the Account if we reasonably believe these Terms are being violated or the law requires it. Where possible we will notify you first and give you an opportunity to fix the issue.

7. Data protection and confidentiality

1. Our processing of personal data is described in the Privacy Policy. Data in Accounts is stored on servers located in the Russian Federation.
2. Your role. When you add personal data of other people to your Account (users, viewers, students, survey participants), you act as the controller of that data (or the “business” under US state privacy laws) and we process it on your behalf and on your instructions as your processor (“service provider”). You must have a lawful basis for that processing, give the people concerned the required notices, obtain any required consents (including parental consent for minors) and not upload special categories of data (such as health data or biometric data) unless the Service is expressly configured for it.
3. As your processor we: process the data only to provide the Service and not for our own purposes; do not sell or share it, or use it for advertising or profiling; keep it confidential and protected by the measures in the Privacy Policy; notify you of a personal data breach affecting it without undue delay and in any case within 24 hours of becoming aware of it; assist you with data-subject requests; and delete it at the end of the retention periods or on your instruction. A separate Data Processing Agreement is available on request at support@moduloom.online.
4. Your materials are confidential. Our staff access them only to answer your support requests, to keep the Service secure or when required by law.
5. After access ends, your Account materials are kept for 30 days and may then be deleted; you can export them during that time by renewing access. Viewer profiles, their analytics and unused invitations are deleted automatically 90 days after access ends.

8. AI features

1. AI features (generating slides and images, editing images) are provided “as is”. Output may be inaccurate, incomplete or similar to content generated for others. You must review output before use, especially in regulated areas such as healthcare, pharmaceuticals and education.
2. Prompts for text and image generation are processed by neural network models of Russian and foreign providers, some of which are hosted outside Russia. Do not include personal data in prompts — see the AI & Acceptable Use Policy. Image tools such as object cut-out and background removal run on our own servers.
3. As between you and us, you own the output you generate, to the extent the law allows, and you are responsible for how you use it.

9. Export controls and sanctions

1. You may not use the Service in violation of export control or sanctions laws that apply to you, and you confirm that you are not prohibited from receiving services of this kind under the laws that apply to you. You are responsible for checking these requirements in your jurisdiction.

10. Service availability and support

1. Our target availability is at least 99% of the time each month, excluding scheduled maintenance we announce in advance where possible and events beyond our reasonable control.
2. Support is provided in the “Support” section of the Account and at support@moduloom.online during business hours (Mon–Fri, 10:00–19:00 Moscow time (UTC+3)). Support is currently provided in Russian and English.

11. Disclaimer of warranties

1. To the maximum extent permitted by law, the Service and all AI output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that output will be accurate.
2. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. If you are a consumer, you keep the statutory rights you have under the law of your country of residence.

12. Limitation of liability

1. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of their possibility. Our total liability arising out of or relating to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
2. These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or for gross negligence or wilful misconduct.

13. Indemnification

1. If you use the Service for business purposes, you will defend and indemnify us against third-party claims arising from your content, your use of the Service in breach of these Terms or your violation of law or third-party rights, and pay resulting damages and reasonable costs finally awarded or agreed in settlement.

14. Term and termination

1. These Terms apply while you have an Account. You may stop using the Service and close your Account at any time. We may suspend or terminate access for material breach of these Terms or non-payment after notifying you by email, or immediately where required by law or to prevent serious harm.
2. Sections that by their nature should survive termination (including 5, 6, 7, 11–16) survive it.

15. Governing law and disputes

1. Please contact us first at support@moduloom.online; we respond to complaints within 10 business days and will try to resolve any issue informally.
2. These Terms are governed by the laws of the Russian Federation. Disputes with business customers are resolved by the courts at the provider's location. If you are a consumer, you also benefit from the mandatory protections of the law of your country of residence and may bring proceedings in the courts that such law allows.

16. Changes and general terms

1. We may update these Terms by publishing a new version at least 10 days before it takes effect and, for material changes, notifying Account owners by email. The terms in force when you paid apply to the period already paid for.
2. If any provision is held unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of the business with notice to you.
3. These Terms are published in English and Russian. For customers who registered on moduloom.online, the English version prevails; the Russian public offers at moduloom.ru/legal/ apply to customers who registered on moduloom.ru.
